Os Termos e Condições de Compliance, Confidencialidade e Proteção de Dados sujeitam-se à legislação brasileira e aplicam-se a todos os Contratos firmados entre empresas do grupo BYD e fornecedores, prestadores de serviços ou parceiros, independentemente do objeto contratado, forma de execução ou condições comerciais negociadas.

The Terms and Conditions of Compliance, Non-disclosure and Data Protection are subject to Brazilian legislation and apply to all Agreements entered into between BYD group companies and suppliers, service providers or partners, regardless of the contracted object, form of execution or negotiated commercial conditions.

Estes Termos e Condições de Compliance, Confidencialidade e Proteção de Dados não são aplicáveis aos Contratos que tragam o acordo expresso, firmado entre a BYD e a parte contrária, a disposições que divergem das disposta nestes Termos e Condições.

These Compliance, Confidentiality and Data Protection Terms and Conditions are not applicable to Contracts that bring the express agreement, signed between BYD and the opposing party, to provisions that differ from those set forth in these Terms and Conditions.

Para as finalidades destes Termos e Condições, considerar-se-ão os seguintes Termos e Definições:

For the purposes of these Terms and Conditions, the following Terms and Definitions shall apply:

1. “BYD”: todas as empresas, em conjunto ou isoladamente, que façam parte do grupo econômico da BYD DO BRASIL LTDA., registrado sob o CNPJ nº 17.140.820/0002-62.

   “BYD”: all companies, jointly or separately, that are part of the economic group of BYD DO BRASIL LTDA., registered under CNPJ No. 17.140.820/0002-62.

2. “Contrato”: todo e qualquer acordo firmado entre uma ou mais empresas do Grupo BYD e um ou mais fornecedores, prestadores de serviços ou parceiros, incluindo, mas sem se limitar à, acordos, memorandos de entendimento, parcerias contratuais, etc., respeitadas as definições legais aplicáveis.

   “Agreement”: any and all agreements entered into between one or more BYD Group companies and one or more suppliers, service providers or partners, including, but not limited to, agreements, memoranda of understanding, contractual partnerships, etc., subject to the applicable legal definitions.

3. “Controlador”: a quem competem as decisões referentes ao tratamento de dados pessoais, especialmente relativas às finalidades e os meios de tratamento de dados pessoais.

   “Controller”: who is responsible for decisions regarding the processing of personal data, especially regarding the purposes and means of processing personal data.

4. “Informações”: toda e qualquer informação técnica ou comercial, inclusive informações de terceiras partes, em qualquer tipo de suporte ou mídia (gráfica, eletrônica ou qualquer outra forma), incluindo, mas não limitado, a especificações de produtos e serviços, protótipos, amostras, desenhos, projetos, processos, planos de marketing, fórmulas, vantagens e desvantagens competitivas, “precificação” de produtos e serviços, cotações, investimentos, negócios, métodos, investidores, custos de produção e de serviços, dados financeiros e estatísticos, bases de dados, inclusive de RH, fornecidas ou divulgadas pela BYD à Parte Contrária e/ou obtida por esta última da BYD, de forma direta ou indireta, por força da execução do objeto contratado.

   “Information”: any and all technical or commercial information, including information from third parties, in any type of support or media (graphic, electronic or any other form), including, but not limited to, product and service specifications, prototypes, samples, drawings, projects, processes, marketing plans, formulas, competitive advantages and disadvantages, “pricing” of products and services, quotations, investments, business, methods, investors, production and service costs, financial and statistical data, databases, including HR databases, provided or disclosed by BYD to the Opposing Party and/or obtained by the latter from BYD, directly or indirectly, by virtue of the execution of the contracted subject.

5. “Operador”: Parte que trata dados pessoais de acordo com as instruções do Controlador.

   “Processor”: Party that processes personal data in accordance with the instructions of the Controller.

6. “Parte Contrária”: qualquer contratado, contratante, anuente, parte interessada, parte interveniente, ou qualquer outra parte que tenha firmado, em conjunto ou isoladamente, um ou mais Contratos com a BYD.

   “Opposing Party”: any contracted party, contracting party, consenting party, interested party, intervening party, or any other party that has entered into, jointly or severally, one or more Agreements with BYD.

7. “Partes”: significam a BYD e a Parte Contrária incluídas em conjunto em determinado Contrato.

   “Parties”: means BYD and the Opposing Party jointly included in a given Agreement.

8. “Termos e Condições”: os presentes Termos e Condições de Compliance, Confidencialidade e Proteção de Dados.

   “Terms and Conditions”: these Compliance, Confidentiality and Data Protection Terms and Conditions.

A Parte Contrária, por si, seus sócios prepostos, empregados, colaboradores, representantes e/ou subcontratados, reconhece e aceita que em decorrência de sua participação e envolvimento com a BYD, por força e/ou em decorrência da prestação dos Serviços ora contratados, a Parte Contrária recebeu ou poderá vir a receber Informações de propriedade da BYD, de empresas do mesmo grupo econômico e/ou ainda Informações sob o controle da BYD e/ou das empresas do seu grupo econômico, e a Parte Contrária, por si só, os seus parceiros e empregados, devendo manter sob sua responsabilidade o sigilo e integridade de tais Informações, a qualquer tempo, mesmo após o término do presente instrumento, qualquer que seja a causa.

The Opposing Party, by themselves, their partners and employees, acknowledge and agree that as a result of their participation and involvement with the BYD, pursuant and/or as a result of providing the contracted Services, the Opposing Party has acquired or may acquire Information owned by the BYD, companies of the same group and/or Information under the control of the BYD and/or the companies in its economic group, and the Opposing Party, by themselves, their partners and employees, shall keep under his responsibility the confidentiality and integrity of such Information, at any time, even after the termination of this instrument, whatever the cause.

Todas as Informações obtidas pela Parte Contrária, direta ou indiretamente, em decorrência de sua relação com a BYD, serão e permanecerão de direito e propriedade única e exclusiva da BYD.

All information obtained by the Opposing Party, directly or indirectly, due to its relationship with the BYD, shall remain solely and exclusively as righteous property of the BYD.

A Parte Contrária, por si, seus sócios, prepostos, empregados, colaboradores, representantes e/ou subcontratados, concorda que todos as Informações deverão ser tratadas como confidenciais, devendo ser protegidas enquanto estiverem em seu poder, através da implementação de todas as medidas razoáveis contra sua utilização ou conhecimento por terceiros. A Parte Contrária, por si, seus sócios, prepostos, empregados, colaboradores, representantes e/ou subcontratados, se obriga a manter estrito sigilo e não revelar as Informações para quaisquer terceiros nem as usar além dos limites obrigatórios para realização dos fins previstos neste Contrato, relativos à condução de suas atividades para a BYD e dentro do escopo dos objeto do Contrato, mesmo após o término, qualquer que seja a causa, deste Contrato e ou de sua relação, qualquer que seja a natureza, com a BYD.

The Opposing Party, by itself, its partners proposed employees, representatives and/or subcontractors agree that all information should be deemed as confidential, and shall be protected while in their power, by implementing all reasonable measures against their use or knowledge by third parties. The Opposing Party, by themselves, their partners, proposed employees, representatives and/or subcontractors, it is obliged to maintain strict confidentiality and not to disclose information to third parties for or to use them beyond the statutory limits for carrying out the purposes specified in this Agreement, for the conduct of its activities to the BYD and within the scope of the Agreement’s subject, even after its fulfillment, whatever the cause, of this Agreement and or their relationship, whatever nature, with the BYD.

Em qualquer caso de término ou rescisão do Contrato, a Parte Contrária assegura devolver, destruir ou apagar todo e qualquer material, dado e/ou produto, de propriedade da BYD ou sob controle desta, que tenha sido utilizado por força do objeto do Contrato, e a entregar à BYD documento escrito garantindo ter devolvido, destruído ou apagado todo o material, Informação, dado ou produto da BYD e declarando expressamente não ter mantido cópia dos referidos itens.

In any case of fulfillment or termination of the Agreement, the Opposing Party ensures to return, destroy or erase any materials, data and/or product, owned by the BYD or under control of this, which has been used under the Agreement’s subject, and to give the BYD written guarantee have returned, destroy or erase all materials, information, data or the BYD product and expressly stating not to have kept a copy of these items.

As obrigações destes Termos e Condições permanecerão em vigor, mesmo após concluídas ou não quaisquer relações comerciais entre as Partes, somente eximidas a Parte Contrária das obrigações por esta assumidas, quanto ao sigilo e confidencialidade em relação às Informações, se as mesmas

The obligations of this Terms and Conditions will remain in effect even after any business relationship between the Parties are completed or not, the Opposing Party is only going to be exempted of the undertaken obligations regarding the confidential Information if they

1. ao tempo de sua transmissão à Parte Contrária, ou posteriormente, sejam ou venham a ser de domínio público, conforme evidenciado por publicações idôneas, desde que sua divulgação não tenha sido causada, pela própria Parte Contrária, incluindo seus sócios, prepostos, empregados, colaboradores e/ou subcontratados; ou

   at the time of the transmission to the Opposing Party, or later, are or will be in the public domain, as evidenced by reputable publications provided that the disclosure was not caused by the Opposing Party, including its partners and/or employees and contractors; or

2. o tempo de sua transmissão à Parte Contrária, a referida informação já seja do conhecimento desta última e não tenha sido obtida da CONTRATANTE, direta ou indiretamente, desde que esse fato seja comprovado por documento escrito.

   the time of the transmission to the Opposing Party, that information is already known by the latter and has not been obtained from the Opposing Party, directly or indirectly, provided that the fact is evidenced in writing.

A não ser quando expressamente determinado em Contrato, nenhuma disposição será considerada ou interpretada para o fim de estabelecer uma licença e/ou cessão de direitos, ou obrigará a BYD a conceder à Parte Contrária, ou a qualquer outra pessoa física ou jurídica, uma licença, sob qualquer regime e de qualquer natureza, ou, ainda, uma cessão de direitos, para utilizar as Informações para qualquer fim que não aquele para a qual foi fornecida e autorizado o uso pela BYD.

Unless expressly provided for in the Agreement, nothing shall be considered or interpreted for the purpose of establishing a license and/or assignment of rights, or shall oblige BYD to grant to the Opposing Party, or to any other natural or legal person, a license, under any regime and of any nature, or an assignment of rights, to use the Information for any purpose other than that for which it was provided and authorized to be used by BYD.

As Partes declaram e garantem, ainda, que estão cientes de e se comprometem a obedecer às disposições da Lei Anticorrupção Brasileira (Lei Federal nº 12.846/2013), declarando, garantindo e concordando que, com relação a quaisquer atividades conduzidas nos termos deste Contrato, não ofereceram, deram ou prometeram, e não oferecerão, darão ou prometerão qualquer importância em dinheiro ou qualquer artigo de valor a qualquer representante/funcionário de governo, em qualquer esfera e/ou instância, ou de partido político para os fins de:

The Parties state and assure that they are aware and agree to comply with the provisions of the Brazilian Anti-Corruption Law (Federal Law No. 12,846/2013), as well as they assure that, in respect to any activities conducted under this Agreement, have not offered, given or promised, and had not offered, given or promised any sum of money or item to any representative/employee of government at any level and/or body or political party for the following purposes:

1. Influenciar qualquer ato ou decisão desse representante/funcionário de governo, em qualquer instância, ou de partido político em sua qualidade oficial;

   To affect any act or decision of such representative/employee of government, at any level, or political party in their official duties;

2. Induzir esse representante/funcionário de governo, em qualquer instância, ou de partido político a praticar ou deixar de praticar qualquer ato em violação ao dever legal desse representante/funcionário de governo, em qualquer instância, ou de partido político;

   To induce such representative/employee of government, at any level, or political party to do or to abstain from doing any act in violation of the lawful duty of such a representative/employee of government, at any level, or political party;

3. Induzir esse representante/funcionário de governo, em qualquer instância, ou de partido político a usar sua influência junto a qualquer governo ou qualquer órgão deste para efetuar ou influenciar qualquer ato ou decisão desse governo ou órgão com o fim de auxiliar as Partes na obtenção de qualquer favorecimento, autorização ou permissão governamental; ou

   To Induce such representative/employee of government, at any level, or political party to use his influence with any government or any agency thereof to make or influence any act or decision of such government or agency in order to assist the Party in obtaining any favor, authorization or government permission; or

4. Expedir ou facilitar a expedição de qualquer documento (licença, autorização, alvará, certificado, auto etc.) em desacordo com as determinações legais aplicáveis.

   To deliver or to ease the delivery of any document (license, permit, certificate, auto etc.) in violation of the applicable legal requirements.

As Partes, por si e/ou seus representantes ou procuradores, declaram ainda que:

The Parties, by themselves and/or their representatives or attorneys, further declare that:

1. Não utilizam práticas de trabalho escravo ou análogo ao trabalho escravo, ou de mão de obra infantil, salvo, com relação a esse último, a condição de aprendiz em conformidade com as leis aplicáveis;

   Do not engage in practices of slave labor or analogous to slave labor, or child labor, except, with respect to the latter, the condition of apprentice in accordance with applicable laws;

2. Não utilizam de prática de discriminação, incluindo, mas não se limitando à cor, etnia, religião, condição física e/ou social, situação familiar ou orientação sexual;

   Do not engage in discrimination, including but not limited to color, ethnicity, religion, physical and/or social status, family status or sexual orientation;

3. Estão em conformidade com a Lei 12.846/13 e com o Decreto 11.129/2022, “Legislação Anticorrupção”, não autorizando seus representantes, procuradores, colaboradores e/ou qualquer pessoa relacionada direta ou indiretamente, a cometer ato lesivo à administração pública;

   They are in compliance with Law 12.846/13 and Decree 11.129/2022, “Anti-Corruption Legislation”, not authorizing their representatives, attorneys, collaborators and/or any person directly or indirectly related to commit a harmful act to the public administration;

4. Não cometerão qualquer ato lesivo à administração pública para execução do presente Contrato;

   Shall not commit into any harmful act to the public administration for the execution of this Agreement;

5. Caso identifiquem que qualquer pessoa física ou jurídica relacionada à execução do presente contrato, a qualquer tempo, possua envolvimento com qualquer ato praticado contra a administração pública, nos termos do artigo 5º, da Lei 12.846/13, deverão substituí-la de imediato no presente Contrato e notificar a outra Parte acerca do ocorrido.

   If they identify that any natural or legal person related to the execution of this contract, at any time, is engaged with any act against the public administration, under the terms of 5th article of the Law 12.846/13, shall be immediately replaced in this Agreement and notify the other Party of the occurrence.

Caso seja necessário qualquer tratamento de dados pessoais para o cumprimento do presente Contrato, as Partes se comprometem a tratá-los em observância à legislação aplicável, inclusive, mas não se limitando à Lei Nacional nº 13.709/2018 (Lei Geral de Proteção de Dados).

If any processing of personal data is necessary for the fulfillment of this contract, the Parties undertake to treat them in compliance with applicable law, including, but not limited to, National Law No. 13,709/2018 (General Law for the Protection of Data).

O Operador, apenas quando requisitado pelo Controlador, tratará os Dados Pessoais decorrentes do objeto deste contrato, de acordo com as orientações fornecidas pelo Controlador. Caso o Operador entenda não possuir indicações suficientes para o tratamento dos Dados Pessoais de acordo com o Contrato ou que uma orientação desobedece às leis de proteção de dados, deverá prontamente notificar o Controlador e aguardar novas instruções.

The Processor, only when requested by the Controller, will handle the Personal Data resulting from the object of this contract, according to the guidelines provided by the Controller. In the event that the Processor understands that it does not have sufficient indications for the treatment of Personal Data in accordance with the Contract or that an orientation disobeys the data protection laws, it must promptly notify the Controller and await further instructions.

O Operador atesta que todos os seus empregados, representantes, e prepostos que tiverem acesso às informações agirão de acordo com o Contrato, as leis de proteção de dados e orientações transmitidas pelo Controlador, bem como, deverão ter ciência de sua confidencialidade e do acordado neste instrumento.

The Processor certifies that all its employees, representatives, and agents who have access to the information will act in accordance with the Agreement, the data protection laws and guidelines transmitted by the Controller, as well as should be aware of their confidentiality and the agreed in this instrument.

Eventuais danos causados em decorrência do tratamento dos dados pessoais realizado em desacordo com as orientações e decisões do Controlador serão de inteira responsabilidade do Operador.

Any damages caused as a result of the processing of personal data carried out in disagreement with the instructions and decisions of the Controller will be the responsibility of the Processor.

O Operador se compromete a não transferir e/ou compartilhar com terceiros, os dados pessoais tratados em razão da presente relação contratual, a menos que seja requisito essencial para o cumprimento do presente contrato, e que esteja em acordo com as bases legais previstas no artigo 7º da Lei Nacional nº 13.709/18, devendo de qualquer forma notificar imediatamente o Controlador.

The Processor undertakes not to transfer and/or share with third parties the personal data processed as a result of this contractual relationship, unless it is an essential requirement for the fulfillment of this contract, and which is in accordance with the legal bases provided for article 7 of National Law No. 13.709/18, and in any case must immediately notify the Controller.

Em caso de descumprimento do disposto na presente cláusula, obrigar-se-á a Parte infratora a indenizar a Parte prejudicada por todos os danos comprovadamente causados, além de custas, despesas processuais e honorários advocatícios.

In case of non-compliance with the provisions of the present clause, the offending Party will be obliged to indemnify the injured Party for all the damages provenly caused, in addition to costs, procedural expenses and attorney fees.

Caso seja necessário qualquer tratamento de dados pessoais para o cumprimento do presente Contrato, as Partes se comprometem a tratá-los em observância à legislação aplicável, inclusive, mas não se limitando à Lei Nacional nº 13.709/2018 (Lei Geral de Proteção de Dados).

If any processing of personal data is necessary for the fulfillment of this contract, the Parties undertake to treat them in compliance with applicable law, including, but not limited to, National Law No. 13,709/2018 (General Law for the Protection of Data).
